Welcome to Zhidun! These Terms of Service ("Terms") govern your use of the Zhidun website and our subscription software-as-a-service platform for office and learning efficiency (collectively, the "Service"), operated by Zhidun LLC ("Zhidun", "we", "us", or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service.

1. Use of Service

Zhidun provides a subscription software-as-a-service (SaaS) platform designed to improve office and learning efficiency through AI-assisted workflows.

• Eligibility: You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that you have the right, authority, and capacity to enter into this Agreement.
• License: Subject to these Terms, we grant you a non-transferable, non-exclusive, revocable, limited license to use and access the Service solely for your own personal or internal business purposes.

2. Accounts and Registration

To access certain features of the Service, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your password and for all activities that occur under your account.

3. Subscriptions and Payments

• Subscription Services: Some parts of the Service are billed on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring and periodic basis (such as monthly or annually).
• Payment Processing: We use third-party payment processors (e.g., Stripe) to handle payment transactions. By making a purchase, you authorize us to charge your selected payment method.
• Renewal: Unless you cancel, your Subscription will automatically renew at the end of each billing period and we will charge your payment method.
• Cancellation: You may cancel your Subscription at any time. Your access to paid features will continue until the end of your current billing period.
• Refunds: Except where required by law or explicitly stated at checkout, fees are non-refundable and we do not provide refunds or credits for partially used billing periods. If you believe a charge was made in error, contact us within 30 days.
• Fulfillment: The Service is delivered digitally. Access is provided via account login and is available during an active Subscription.

4. User Conduct

You agree not to use the Service to:

• Violate any applicable national or international law or regulation.
• Infringe upon the rights of others, including intellectual property rights.
• Transmit any material that is defamatory, obscene, or offensive.
• Attempt to gain unauthorized access to any portion of the Service or any other systems or networks connected to the Service.
• Use the Service in connection with high-risk or regulated activities, including cryptocurrency exchange/trading, gambling/betting, adult content, illegal drugs, weapons sales, or any form of money services business.
• Use the Service to collect, store, transmit, or process payments on behalf of third parties (e.g., payment aggregation, “代收代付”, acting as a payment processor or merchant of record for others).

5. Intellectual Property

The Service and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of Zhidun LLC and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries.

6. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.

7. Limitation of Liability

IN NO EVENT SHALL ZHIDUN LLC, NOR ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (III) ANY CONTENT OBTAINED FROM THE SERVICE; AND (IV) UNAUTHORIZED ACCESS, USE OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.

8. Disclaimer

YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. THE SERVICE IS PROVIDED WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT OR COURSE OF PERFORMANCE.

9. Governing Law and Dispute Resolution

Governing Law: These Terms shall be governed and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions.

Arbitration: Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by arbitration. Judgment on the Award may be entered in any court having jurisdiction.

Class Action Waiver: YOU AGREE THAT ANY ARBITRATION OR PROCEEDING SHALL BE LIMITED TO THE DISPUTE BETWEEN US AND YOU INDIVIDUALLY. TO THE FULL EXTENT PERMITTED BY LAW, (I) NO ARBITRATION OR PROCEEDING SHALL BE JOINED WITH ANY OTHER; (II) THERE IS NO RIGHT OR AUTHORITY FOR ANY DISPUTE TO BE ARBITRATED OR RESOLVED ON A CLASS ACTION-BASIS OR TO UTILIZE CLASS ACTION PROCEDURES; AND (III) THERE IS NO RIGHT OR AUTHORITY FOR ANY DISPUTE TO BE BROUGHT IN A PURPORTED REPRESENTATIVE CAPACITY ON BEHALF OF THE GENERAL PUBLIC OR ANY OTHER PERSONS.

10. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.
